The Offer is made under the exclusion in clause 19 of Schedule 1 of the Financial Markets Conduct Act 2013 (the “FMCA”) and, in Australia, under section 708AA of the Corporations Act 2001 (Cth) (the “Corporations Act”), as notionally modified by Australian Securities and Investments Commission (“ASIC”) Instrument 22-0327 and ASIC Corporations (Non-Traditional Rights Issues) Instrument 2016/84.
